These Commercial Terms of Service ("Terms") govern the use of commercial services offered through PerfectStack.ai (the "Site"), operated by Vincenzo.be SRL ("PerfectStack", "Company", "we"). These Terms apply specifically to professional or commercial users ("Customer", "you") who use the Site to submit, promote, or sponsor AI tools or engage in any commercial activity. By using these services, you agree to these Terms, and our Privacy Policy. In case of conflict, these Terms take precedence.

A. Tool Submission

By submitting a tool ("Tool"), you confirm you have the legal rights to submit it. All details provided must be accurate and not misleading. We review submissions to ensure alignment with our listing criteria and may reject any submission without obligation to provide reasons.

B. Custom Campaigns

We design promotional campaigns based on your goals. Campaign execution follows industry standards but results are not guaranteed. You must provide all required information. Payment and campaign details are arranged directly with our team.

C. Sponsorships

Promote your Tool through different channels:

• Website Sponsorship: Highlighted placement for 3 days, 1 week, 2 weeks, or 4 weeks.

A. Scope

Tools must prominently use AI and clearly state their functionality and limitations.

B. Listing Requirements

• Content must be accurate, legal, and free from malware or deceptive practices.
• Intellectual property rights must be respected.
• No promotion of prohibited activities.
• Timely customer support (response within 48 hours) is mandatory.
• User interface and experience must match tool descriptions.
• All pricing and usage information must be transparent and kept up to date.

C. Enforcement

We reserve the right to monitor, modify, reject, or remove listings that do not meet our standards. If your tool is rejected or removed, we may explain the reason and give you a chance to respond or appeal.

Beta features are offered "as-is" and may contain bugs or incomplete functionality. We do not guarantee performance and are not liable for any issues that arise from their use.

5.1 Payment Terms

You are responsible for all charges related to commercial services used. Payments must be made as agreed (immediate or based on invoice). Accepted methods include bank transfers and approved online payment systems.

5.2 Taxes

All fees are exclusive of applicable taxes. You are responsible for complying with your tax obligations, including any required withholding. If withholding reduces our payout, you must gross-up the payment to ensure full receipt.

5.3 Billing and Collection

We reserve the right to pursue collection through legal or agency means for overdue payments.

Metrics such as clicks or impressions are indicative and not guaranteed. Performance may vary depending on user behavior, market trends, and other factors outside our control.

We are not liable for any indirect, incidental, or consequential damages including loss of profits or data. Our total liability is limited to the amount you paid for the specific commercial service within the past 6 months.

We are not responsible for claims from your end users. You agree that you bear all liability related to how your tool functions, is promoted, or is interpreted by others.

You agree to indemnify and hold harmless PerfectStack.ai and Vincenzo.be SRL (including affiliates, employees, and contractors) from any claims, costs, or liabilities resulting from:

• Your use of our commercial services
• Any breach of these Terms
• Third-party claims regarding your tool, including intellectual property or consumer complaints
• Claims by your end users for issues arising from your tool

• You must comply with all applicable laws and third-party terms.
• You may not reverse-engineer or duplicate our platform or its features without consent.
• You may not give unauthorized third parties access to our services.
• You are responsible for securing your account and reporting breaches.

We may suspend or terminate your access to commercial services for breach of these Terms, illegal activity, or reputational harm. You may terminate with 30 days' written notice. Some rights and obligations survive termination.

We may list your name/logo as a user of our services. You may be invited to provide testimonials or participate in promotional content.

These Terms are governed by the laws of Belgium. Disputes will be resolved in the courts of Namur, unless required otherwise by law.
